General Terms of Service (GTS)
Terms and conditions for using our services
1. Definitions and Scope of Application
Provider: Massimiliano Mattioli (FlowMatics.eu), IÄŒO 04774990, registered office at Novodvorska 1070/4, 142 00 Praha-Libus, Czech Republic.
Client: The natural or legal person who requests and purchases services.
Services: Consulting, design, and assistance activities in the industrial automation sector (and related services) described in the specific offer or quote.
These GTS govern the conclusion and execution of all service contracts between the Provider and the Client.
2. Contract Conclusion
Request: The Client submits a service request via the website, email, or phone.
Offer: The Provider sends a customized quote/offer.
Acceptance: The contract is deemed concluded when the Client formally accepts the offer (e.g., via confirmation email or deposit payment).
Contract modifications must be agreed in writing.
3. Prices and Payment Terms
- Service prices are those indicated in the Offer accepted by the Client.
- Prices are net of Value Added Tax (VAT), unless otherwise specified. The Provider operates with VAT number CZ8302281273.
- Payments must be made in the manner and within the terms indicated on the invoice (issued from the Czech Republic headquarters).
- In case of late payment, default interest will be applied as provided by Czech law and/or the EU Directive on combating late payment in commercial transactions.
4. Service Execution and Client Obligations
The Provider undertakes to perform the Services with the professional diligence required for the sector (obligation of means).
The Client undertakes to promptly provide all information, documents, and resources necessary for the execution of the Service. Any delay attributable to the Client may result in a delay in execution.
5. Right of Withdrawal (Consumers Only)
Scope of Application: This section applies only if the Client is a Consumer (natural person acting for purposes unrelated to their business or professional activity).
Period: The Consumer has the right to withdraw from the contract within 14 days without giving any reason, from the date of contract conclusion.
Loss of Right: If the Service is a consulting service and execution has begun, with the express consent of the Consumer and their acceptance of losing the right of withdrawal once the service is fully performed, the right of withdrawal expires.
Procedure: To exercise the right of withdrawal, the Consumer must inform the Provider through explicit communication (e.g., email) before the withdrawal period expires.
6. Liability and Limitations
The Provider is not responsible for damages arising from incorrect or incomplete information provided by the Client.
Liability for damages suffered by the Client in connection with the execution of Services shall be limited to the total value of the agreed compensation for the Services, except in cases of willful misconduct or gross negligence.
7. Applicable Law and Jurisdiction
For all contracts concluded under these GTS, the Law of the Czech Republic applies, unless the Client is a Consumer resident in another EU Member State, in which case the mandatory consumer protection rules of their country of residence apply.
For disputes arising from contracts concluded with Clients acting as entrepreneurs or professionals (B2B), the exclusive jurisdiction is Prague, Czech Republic.
For Consumers, the competent court is as provided by law.
